Standard Terms and Warranty Conditions


PolygonMach: The legal entity selling the Product(s) is Polygonmach Endüstri Mak. İmalat San. Tic. Ltd. Şti..

CUSTOMER: Refers to the legal entity purchasing the Product(s).

PRODUCTS: Refers to machinery, equipment, and/or spare parts.

Polygonmach agrees to sell the products at the mutually agreed price, provided that the Customer accepts the Standard Terms stated below.
These terms apply to all sales, including orders placed electronically.

1. SCOPE

The scope of the products sold by Polygonmach is exclusively described in the sales or purchase contract or in Polygonmach’s product specifications.
Unless otherwise agreed in writing, this scope does not include, without limitation, any services or commitments of Polygonmach such as installation or initial commissioning of the products.

2. PRICE AND PAYMENT

Taxes and duties are not included in the prices.

All payments shall be made in the currency specified in the offer (TRY, USD, or EUR).

Payments must be made according to the terms specified in the offer.

If payment is not made, shipment will not be allowed or only partial shipment may be made.

Each shipment shall be considered a delivery, and payment becomes due in proportion to the shipment.

If the buyer delays the shipment, the date when the shipment is ready shall be considered the delivery date for payment purposes.

Polygonmach reserves the right to store the products at the buyer’s risk and expense.

If the buyer fails to pay by the due date, Polygon Machine will apply 2% monthly interest on the total price of the products.

3. DELIVERY

Products are delivered ex-works.
Polygonmach cannot be held liable for delays beyond its own commitments.

4. RESPONSIBILITIES FOR MANUFACTURING AND WORKMANSHIP DEFECTS

4.1 Polygonmach shall repair or replace any defects arising from faulty materials or workmanship in the products.

4.2 Except for spare parts and consumables, Polygonmach’s warranty on products is limited to manufacturing, assembly, and workmanship defects detected within 24 months from delivery.

4.3 The Customer must immediately notify Polygonmach in writing of any defect.
If the defect is not reported in writing, the warranty becomes invalid and the Customer shall be responsible for any resulting damages.

4.4 Upon receipt of written notice, Polygon Machine agrees to provide service within 24 hours subject to existing conditions.
Polygonmach shall not be held liable for service delays arising from part supply or manufacturing processes.
Faulty parts will be repaired or replaced.

Parts covered under warranty are free of charge.

Service and transportation costs will be borne by the Customer.

4.5 During the warranty period, all travel, accommodation, and meal expenses related to services provided by Polygonmach shall be borne by the Customer.

4.6 All wear parts (liners, bolts, chutes, gears, bearings, seals, etc.) are excluded from the warranty.

4.7 For ready-made materials not manufactured by Polygonmach (motors, gearboxes, bearings, lubrication systems, electrical panel components, etc.), the manufacturer’s warranty terms apply.
However, the responsibility and organization of the equipment lie with Polygonmach.

4.8 Replaced parts shall become the property of Polygonmach.

4.9 Polygonmach is only responsible for defects that occur under operating conditions specified by Polygonmach or mutually agreed in writing between the parties.
Modifications made by the Customer or third parties are excluded from the warranty.

4.10 If a defect is determined to be outside Polygonmach’s responsibility, Polygonmach has the right to claim its costs.

4.11 The use of spare parts specified by Polygonmach is mandatory for the warranty process to be valid.

4.12 A maintenance agreement must be signed with Polygonmach for the warranty period.
If no maintenance agreement is made, the customer is obliged to fully comply with all maintenance requirements.
If a maintenance agreement is made, Polygonmach will provide service 4 times a year (once every 3 months).

4.13 Polygonmach cannot be held liable for capacity guarantee, production losses, loss of profit, or operational damages not explicitly stated in the initial sales contract.

5. FORCE MAJEURE

5.1 Industrial disputes, natural disasters, fires, wars, mobilizations, confiscations, civil wars, transportation or material shortages, energy restrictions, etc. are considered force majeure.
These are situations beyond the control of the parties and may cause delays in fulfilling the contract.

5.2 The party experiencing a force majeure situation must notify the other party in writing.

5.3 If the force majeure lasts for more than six months, either party has the right to terminate the contract.

6. INTELLECTUAL PROPERTY AND RESPONSIBILITIES

6.1 If the design or manufacture of Polygonmach products results in a patent or copyright infringement in the customer’s country, the customer shall inform Polygonmach, and Polygonmach will assume the necessary defense.

6.2 Drawings, specifications, data, software, instructions, and other documents provided by Polygonmach may only be used for the installation, operation, maintenance, and repair of the products.
These documents may not be copied, reproduced, or shared with third parties.

7. INDIRECT AND CONSEQUENTIAL LOSSES

Neither party shall be held liable to the other for production losses, loss of profit, loss of use, or any other indirect losses.

8. CUSTOMER PERMITS, APPROVALS, DATA

The Customer shall obtain all necessary permits and licenses and pay the related fees for the installation and operation of the products.
Polygonmach’s timely delivery depends on the Customer providing the required technical and commercial documents.

9. RETENTION OF TITLE

Ownership of the products remains with Polygonmach until full payment is made.
The Customer shall assist Polygonmach in protecting this ownership right.

10. REJECTION OF PRODUCTS

All claims leading to the rejection of products must be notified to Polygonmach in writing within 7 business days from delivery.
If no notification is made within this period, the products are deemed to be definitively accepted.

11. FOUNDATION WORKS, CONSTRUCTION, INSTALLATION RESPONSIBILITIES

The construction and adequacy of the foundation are the Customer’s responsibility.

Polygonmach may only send a supervisor for a limited time for installation and commissioning.

Travel, accommodation, and meal costs are to be borne by the Customer.

Unless otherwise agreed in writing, Polygonmach shall not be held liable for construction works, energy-water-air expenses, dismantling-assembly works, etc.

12. DISPUTES AND LEGAL LIABILITIES

All disputes shall be resolved in the courts of the city where Polygonmach is domiciled.

The sale and purchase of products are subject to the laws of the Republic of Türkiye.

13. POLYGONMACH PRODUCTS UNDER WARRANTY

13.1 This warranty applies only to Polygonmach equipment, machinery, components, parts, and services.

13.2 This warranty supersedes all other warranties, obligations, and remedies related to the equipment and services provided by Polygonmach.
